1. Service Description

AiPrice is an AI-powered intelligent image creation platform for users including e-commerce businesses, cross-border e-commerce businesses, designers, content creators, and merchants, providing services including but not limited to the following:

AI model images, model replacement, apparel/product image generation, product retouching, recreation of high-performing images, competitor-reference image generation, scene variation, marketing posters, 3D views, handheld images, image translation, product replacement, AI image expansion, AI background removal, HD upscaling, local repainting, text editing/removal, image cropping, image resizing, image transformation, batch processing, text-to-video, image-to-video, motion imitation, video translation, account management, order management, usage records, compute power/points recharge, and other services.

AiPrice may adjust the service content, feature names, page displays, billing methods, available regions, model capabilities, or usage rules based on technical, operational, compliance, security, or commercial arrangements.

2. Account Registration and Security

You shall provide true, accurate, and complete information to register for and use your account. You shall properly safeguard your account, password, verification codes, login credentials, and third-party login information.

Uploads, generations, downloads, recharges, consumption, authorizations, deletions, and other activities conducted through your account shall be deemed to have been performed by you, unless you can prove that your account was used without authorization and that you promptly notified AiPrice.

If account anomalies, theft, unauthorized use, batch registrations, abuse of free quotas, security risks, or legal risks are identified, AiPrice has the right to require identity verification, restrict certain functions, suspend the account, freeze the balance, terminate the Service, or take other necessary measures.

3. Compute Power, Points, Memberships, and Paid Services

Certain functions may consume compute power, points, quotas, membership benefits, or other virtual resources. The specific prices, consumption rules, package contents, validity periods, complimentary quotas, refund conditions, and promotion rules shall be subject to the purchase page, order page, function page, or promotion description.

Except as otherwise mandatorily required by law or expressly promised by AiPrice, consumed points, compute power, quotas, or digital services that have been delivered are generally non-refundable. If duplicate charges, non-delivery, or obviously abnormal charges occur due to technical failures, you may contact AiPrice for verification and handling.

Complimentary quotas, promotional benefits, and trial quotas may not be transferred, sold, leased, pledged, exchanged for cash, or used for illegal transactions. AiPrice has the right to adjust, suspend, or terminate relevant promotions within a reasonable scope.

4. User Uploaded Content and Generated Content

You shall be solely responsible for content including images, product materials, portrait materials, model images, brand elements, text, prompts, reference images, videos, audio, trademarks, packaging, copy, and product information that you upload.

You shall ensure that you own the lawful rights to the relevant content, have obtained the necessary authorizations, or have another lawful basis for use. You may not upload or use content that infringes another party's copyright, trademark rights, portrait rights, name rights, privacy rights, publicity rights, trade secrets, or other lawful rights and interests.

To provide the Service to you, you authorize AiPrice to process, reproduce, cache, transmit, generate, display, store, and download your uploaded content and generated results within the necessary scope, including by calling necessary AI models, cloud services, storage services, security review services, payment services, analytics services, and technology providers.

To the extent permitted by law, you shall enjoy the corresponding rights in the content that you lawfully upload and in the results generated based on such content. However, you understand and agree that AI-generated results may be similar to results generated by others, and AiPrice does not guarantee that generated results will be unique, original, registrable, commercially usable, defect-free, or non-infringing of third-party rights.

Before using generated results for product sales, advertising, social media, e-commerce platforms, cross-border sales, trademark registration, copyright registration, or other commercial purposes, you shall conduct manual review on your own and confirm compliance with the laws of the target countries/regions, platform rules, and third-party rights requirements.

5. Prohibited Conduct

You may not use AiPrice to engage in any of the following conduct:

Generating, uploading, or disseminating content that is illegal, fraudulent, false, defamatory, hateful, harassing, violent, pornographic, related to child sexual abuse, terrorism, extremism, inducement of self-harm, or infringing of others' rights and interests.

Using, without authorization, another person's portrait, name, voice, identity characteristics, trademarks, copyrighted works, product images, model images, competitor materials, platform images, or third-party commercial materials.

Generating misleading deepfake content, impersonating real individuals, brands, institutions, platforms, government entities, or rights holders, or using such content for fraud, false advertising, infringing sales, order manipulation, evasion of review, or misleading consumers.

Circumventing, disrupting, or attacking AiPrice's security mechanisms, billing mechanisms, review mechanisms, or access restrictions; batch registration, abuse of free quotas, resale of accounts or points; crawling, copying, reverse engineering, interfering with the Service, or developing competing services.

Violating applicable laws of China, the United States, Japan, South Korea, Russia, or other countries and regions where you are located, including laws related to export controls, sanctions, advertising, e-commerce, consumer protection, data protection, intellectual property, portrait rights, content safety, and AI-generated content.

6. E-Commerce and Advertising Compliance

If you use generated content for product detail pages, advertising, social media, e-commerce platforms, cross-border sales, or other commercial purposes, you shall ensure that product information is true, accurate, and complete, and that it does not constitute false advertising or mislead consumers.

For information that may affect consumer judgment, including AI-generated models, product effects, use scenarios, size, color, material, efficacy, try-on effects, and before-and-after comparisons, you shall conduct manual review and, where necessary, provide clear labels or explanations.

AiPrice shall not be liable for advertising review, e-commerce platform review, product removal, account penalties, consumer complaints, infringement claims, administrative investigations, or similar matters arising after your use of generated content, unless otherwise mandatorily required by law.

7. AI Service Limitations

AI-generated results are affected by model capabilities, input material quality, prompts, network conditions, review policies, third-party services, and system load, and may contain errors, biases, defects, delays, unavailability, or failure to meet expectations.

AiPrice does not undertake that generated results will be completely accurate, continuously available, suitable for a particular commercial purpose, necessarily pass third-party platform review, or necessarily satisfy your aesthetic, business, sales, legal, or other needs.

8. Intellectual Property

AiPrice's website, software, interfaces, functions, processes, brands, logos, documents, templates, material libraries, algorithm orchestration, databases, technical solutions, and related rights and interests are owned by AiPrice or the lawful rights holders.

Without AiPrice's written permission, you may not copy, adapt, sell, lease, sublicense, reverse engineer, scrape, mirror, disassemble, train competing models, or otherwise use the foregoing to develop competing services.

9. Handling of Violations

If AiPrice believes that you have violated these Terms, laws and regulations, platform rules, or third-party rights, AiPrice may, depending on the circumstances, take measures including reminders, content deletion, restriction of generation, restriction of downloads, recovery of improperly obtained benefits, account freezing, termination of the Service, preservation of evidence, and reporting to competent authorities.

If your violation causes losses to AiPrice, other users, or any third party, you shall be liable for compensation.

10. Disclaimer and Limitation of Liability

To the fullest extent permitted by law, AiPrice provides the Service on an 'as is' and 'as available' basis. AiPrice shall not be liable for losses caused by user input content, use of generated results, third-party platform review, third-party payment, network failures, force majeure, model errors, user business decisions, third-party claims, or similar matters.

11. Regional Applicability

Users in China shall comply with the Personal Information Protection Law, the Data Security Law, the Cybersecurity Law, the E-Commerce Law, the Advertising Law, and relevant provisions concerning generative artificial intelligence, deep synthesis, internet information services, and related matters.

Users in the United States shall comply with federal and state laws, including rules concerning consumer protection, copyright, trademarks, publicity rights, privacy, AI-generated content disclosures, and platform advertising. California residents enjoy relevant rights under the CCPA/CPRA and other applicable laws.

Users in Japan shall comply with the Act on the Protection of Personal Information, consumer contract rules, premium representation rules, copyright, portrait rights, advertising-related rules, and other applicable rules.

Users in South Korea shall comply with the Personal Information Protection Act and rules related to information and communications, e-commerce, advertising, copyright, and portrait rights.

Users in Russia shall comply with the Personal Data Law 152-FZ, advertising rules, consumer protection rules, intellectual property rules, and local data compliance requirements. Processing and cross-border transfer of Russian personal data shall be conducted in accordance with applicable law.

Users in other countries or regions shall comply with the applicable laws and regulations, regulatory requirements, platform rules, and industry standards of their location and of the countries or regions involved in service use, content publication, product sales, or advertising.

12. Governing Law and Dispute Jurisdiction

These Terms of Service shall be governed by the laws of Mainland China. Any dispute arising under these Terms of Service shall be subject to the jurisdiction of the court at the defendant's domicile.

13. Changes to Terms

AiPrice may update these Terms due to functional adjustments, changes in law, or operational needs. Material changes will be notified through website announcements, pop-ups, emails, or in-site notices.

Your continued use of the Service after such changes shall be deemed acceptance of the updated Terms.
